Business Entity Formation and Maintenance

We assist with the choice and formation of entities and ownership relationships for clients while seeking to limit the personal liability of the owners for third party claims.  Ownership relationship agreements address issues of control and succession within the business, such as shareholder “buy-sell” agreements and limited liability company operating agreements.  We also assist clients with the ongoing maintenance of these entities, preparing corporate minutes, consents and other necessary entity actions.

Purchase & Sale of Businesses

We advise clients concerning a myriad of issues related to the purchase or sale of businesses, including manufacturing, professional, retail, distributorship and franchised businesses.

Franchises

We prepare Franchise Disclosure Documents on behalf of franchisor clients to comply with the Federal Trade Commission’s “Franchise Rule.”  In addition, we review these documents and provide advice to clients who are evaluating a franchise or licensing opportunity.

Business Document Drafting and Review

We draft and review business and commercial contracts of all types, including commercial leases, financing agreements, employment, independent contractor and consulting agreements, product sales agreements, licensing agreements, distributorship agreements, sales representative agreements and the like.

Dispute Resolution and Litigation

We represent clients in prosecuting, defending and resolving civil, commercial and financial disputes, in a variety of forums including mediation, arbitration and federal and state civil litigation.

Trademarks and Licensing

We represent clients in connection with obtaining, maintaining, and licensing federal trademarks.

Wills, Trusts and Estate Planning

We advise clients on planning for the transfer of assets during life and at death, including preparation of Wills, Revocable and Irrevocable Trusts, Powers of Attorney, and other planning documents.  We also prepare Healthcare Powers of Attorney and Living Wills.

Estate Administration

We have significant experience guiding estates through probate with a minimum of expense to the estate. In our probate administration work, not only do we ensure the orderly distribution of an estate, but we also obtain appraisals on decedent's assets, pay the last expenses of the estate and ensure that necessary taxes are paid prior to distribution to heirs.

Executive Separation Agreements

We represent both employers and executives and professionals in negotiating & strategizing on the terms and conditions of both amicable and hostile separations of employment and also, on offers of employment.  We also assist both employers and employees with interpretation of and enforcement issues related to restrictive covenants, including non-compete, confidentiality and non-disparagement provisions. 

Zoning

Mr. Krassenstein serves as the Chairman of the Zoning Hearing Board for the Borough of Bradford Woods.  He has represented businesses and residents in a variety of zoning issues in Allegheny County, Butler County  and the surrounding area.

Real Estate

We represent businesses and individuals in buying and selling real estate, drafting, negotiating and enforcing commercial retail, industrial and office leases, residential leases and oil and gas leases.
